Batoi Partnership Program Terms of Service

The participation rules for Batoi’s unified Partner Program, its Registered, Certified, and Strategic levels, and the delivery domains in which a partner may be approved.

Introduction and order of precedence

These public terms govern participation in the Batoi Partner Program only where they are incorporated into an application, program record, or partner agreement. The applicable partner agreement, order, program schedule, or written approval controls if it expressly differs from this page.

Program structure and definitions

One program provides a common governance model while levels and approved domains describe a partner’s current status and capabilities.

Registered Partner

An accepted participant completing foundational onboarding and any requirements stated in its program record.

Certified Partner

A partner whose capability in one or more domains has been reviewed and approved under the applicable certification path.

Strategic Partner

A partner approved for a broader relationship based on delivery experience, governance maturity, market alignment, and the applicable agreement.

A “domain” is a reviewed area of delivery capability described on the Partner Domains page. Levels and domains may change following review and do not create exclusivity.

Eligibility and application

Batoi reviews each application before confirming participation, level, domains, commercial focus, or portal access.

  • Provide complete, current, and accurate information about the applicant, organization, capabilities, markets, and relevant experience.
  • Complete applicable screening, KYC, security, certification, payment, and agreement steps.
  • Request a level and one or more domains that reflect current capability; Batoi may approve a different level or narrower scope.
  • Promptly disclose material changes that could affect eligibility, independence, conflicts, sanctions, ownership, delivery capability, or legal compliance.

Partner responsibilities

Partners operate independently and remain accountable for their people, statements, delivery, customer commitments, and legal obligations.

Accurate representation

Describe Batoi, partner status, approved domains, services, prices, and customer outcomes accurately. Do not bind Batoi or make warranties on Batoi’s behalf without written authority.

Governed delivery

Follow the applicable agreement, approved delivery practices, security and privacy requirements, Acceptable Use Policy, and customer-specific obligations.

Qualified personnel

Use appropriately skilled personnel and maintain any enablement, certification, insurance, or review requirements stated for the approved level or activity.

Prompt escalation

Report material customer, security, privacy, delivery, conflict, or compliance concerns through the applicable partner or support channel.

Program access and benefits

Available enablement, portal features, directory visibility, opportunity support, Exchange participation, or other benefits depend on the approved level, domains, program record, continued eligibility, and availability.

Commercial terms, opportunities, and payments

Pricing authority, margins, discounts, fees, revenue share, services revenue, taxes, invoicing, payment timing, deal registration, and opportunity protection apply only as stated in the relevant agreement, approved program schedule, order, or deal record.

Partners must not promise an unapproved price, discount, incentive, margin, territory, exclusivity, or commercial commitment. A submitted opportunity is not protected until Batoi confirms registration and scope through the applicable process.

Term, suspension, and termination

The applicable partner agreement or program record determines the term, renewal, notice, suspension, termination, and transition requirements.

  • Batoi may restrict a level, domain, benefit, opportunity, or access where reasonably necessary to address eligibility, security, compliance, customer, payment, reputational, or program-integrity concerns.
  • On termination or expiry, each party must follow the applicable agreement for customer transition, confidential information, records, payments, brand use, credentials, portal access, and surviving obligations.
  • No fixed renewal period or notice period is created by this public page.

Confidentiality and data protection

Each party must protect confidential information and personal data according to the applicable agreement, documented role, law, and authorized purpose. Access must be limited to people who need it and are subject to appropriate obligations.

Intellectual property and brand use

Each party retains its pre-existing intellectual property. Ownership and permitted use of jointly created work, Exchange assets, customer deliverables, Batoi materials, names, marks, badges, and logos are determined by the applicable written terms and the Intellectual Property Policy.

Responsibility, warranties, indemnity, and liability

Each party’s warranties, indemnities, exclusions, and liability limits are those stated in the applicable partner agreement. This public page does not create a separate liability cap or indemnity. Each partner remains responsible for its personnel, statements, customer commitments, taxes, legal compliance, data handling, and delivery activities.

Contracting entity and governing law

The applicable partner agreement identifies the contracting Batoi entity, governing law, and dispute forum. Program benefits, customer work, payments, and revenue sharing do not begin until any required entity-specific agreement is effective.

Program changes

Batoi may update public program information and these terms. Material changes are communicated through an appropriate website, partner portal, email, program record, or agreement process. Changes do not retrospectively replace an executed agreement except as that agreement permits or applicable law requires.
