Acceptance and scope
By using Batoi’s websites, software, or services, you agree to comply with and be legally bound by these Terms of Use.
Ownership and Licensing
Content, software, and materials made available by the applicable Batoi contracting entity or its licensors are protected by applicable copyright, trademark, and intellectual property laws.
For clarity, Batoi Platform provides governance, identity, and control services, while customer or partner workloads may operate in separate execution environments governed through APIs and identity controls.
Users are granted a limited, non-exclusive, non-transferable license to use Batoi’s services as outlined in their subscription or agreement.
Unauthorized copying, distribution, or reverse engineering is strictly prohibited.
Product names, company marks, and logos used across Batoi properties may be trademarks or proprietary identifiers of the applicable Batoi entity or its licensors.
User Responsibilities
Users agree to:
Provide accurate and updated registration information.
Maintain confidentiality of login credentials.
Use services only for lawful, authorized purposes.
Refrain from activities that disrupt or compromise service integrity.
Prohibited activities include but are not limited to:
Uploading or transmitting malicious code or content.
Unauthorized data mining or scraping.
Reselling or sublicensing services without prior consent.
Using services to infringe upon third-party rights or privacy.
Account Registration and Access
- Access to certain products or services requires registration through Batoi-managed account and support surfaces.
- Accounts are intended for single-user or organizational use as specified in the license.
- Batoi reserves the right to suspend or terminate accounts for violations of these Terms, security incidents, or fraudulent activity.
Payment and Subscriptions
Where applicable:
Fees, billing cycles, and payment methods are defined in the user’s service agreement or order form.
Payments are non-refundable except as required by law or explicitly stated.
A subscription renews automatically only where the applicable order, checkout, or subscription agreement states the renewal period, price basis, and cancellation method.
Invoices are provided through the billing channel stated in the applicable order and may be available through Batoi Bridge where enabled.
Data Privacy and Protection
Batoi processes personal and organizational data in accordance with its Privacy Policy and applicable laws (GDPR, CCPA, and Indian IT Rules).
Batoi applies technical and organizational safeguards informed by its certified information-security management system and independently examined service controls, within the scope of the applicable service and assurance documentation.
Govern Framework Pack Terms: Version 1
Effective July 23, 2026. These terms supplement the applicable Batoi order, Exchange terms, and the remainder of these Terms of Use.
Readiness companion
A Govern Framework Pack is Batoi-authored operational guidance and workflow content. It is not the official framework, legal advice, a certification, an audit or assurance opinion, regulator approval, or proof that an organization complies with any law, standard, contract, or program.
Entitlement and permitted use
Acquisition grants the identified workspace a limited, non-exclusive, non-transferable right to install and use the acquired exact pack version for its internal compliance and readiness work, subject to any Project limit stated in the offer. It does not grant ownership, resale, sublicensing, public redistribution, or rights to protected source materials.
Authoritative sources
Customers remain responsible for obtaining any required licensed standard, official publication, program material, or qualified professional advice. If Batoi guidance differs from an authoritative source, the authoritative source controls.
Price, tax, and refunds
A free offer has price zero but still requires acceptance of these terms. Paid prices and the applicable contracting or billing entity are shown at acquisition. Taxes are additional where required. Digital pack acquisitions are non-refundable after acquisition or initiation except where required by law or expressly approved by Batoi.
Support and updates
Support is available through Batoi Support and Batoi Contact. A one-time purchase does not include future major editions unless expressly stated. Content, mappings, and guidance may change in a new immutable pack version; locally modified workspace records remain subject to the applicable update review process.
Lifecycle and responsibility
Batoi aims to provide at least 90 days’ notice of material deprecation or end of support where reasonably practicable, but may act sooner for legal, security, source-rights, or regulatory reasons. The customer remains responsible for scope, configuration, evidence, decisions, professional review, and outcomes. The disclaimers and liability limits elsewhere in these Terms continue to apply.
Service Availability and Maintenance
Availability targets and service credits apply only to services expressly designated in the applicable order, service description, or service-level agreement.
Where reasonably practicable, scheduled maintenance notices are provided through an appropriate account, status, email, or service channel.
Temporary interruptions for maintenance, upgrades, or emergencies may occur.
Batoi is not liable for delays or failures caused by events beyond reasonable control (force majeure).
Intellectual Property of User Content
Users retain ownership of their data and content uploaded to Batoi services.
By using the services, users grant Batoi a limited license to host, process, and display such content for service delivery.
Batoi does not access or share customer data except for technical support, legal compliance, or as permitted by contract.
Confidentiality
Each party must protect confidential information as required by the applicable agreement and law. Batoi applies confidentiality obligations to personnel and third parties according to their role and access.
Limitation of Liability
Where these public Terms control and applicable law permits, Batoi excludes liability for indirect, incidental, special, or consequential loss arising from the affected service.
An applicable agreement may state a different liability allocation. Otherwise, Batoi’s aggregate liability under these public Terms will not exceed the amount paid for the affected service during the preceding 12 months.
No limitation applies to a right, remedy, duty, or category of liability that governing law does not permit the parties to limit or exclude.
Suspension and Termination
The user breaches any term of this agreement.
Payment obligations remain outstanding beyond grace periods.
Legal or regulatory obligations require discontinuation.
Users may terminate accounts by written notice or via the Bridge Portal, following settlement of dues.
Governing Law and Jurisdiction
Updates to Terms
Batoi may update these Terms periodically to reflect legal, product, or policy changes. Material updates will be communicated through an appropriate website, account, email, or in-service notice. Where required by applicable law or contract, Batoi will request affirmative acceptance before revised terms take effect; otherwise, continued use after the stated effective date constitutes acceptance to the extent permitted by law.
